JOB SUMMARY

The Vice President for Legal and Compliance will serve as the in-house legal advisor for ibml and its affiliates. Reporting directly to the CEO, the VP Legal and Compliance will provide legal guidance on a wide range of corporate legal matters, including data privacy, compliance, sales contracts, vendor contracts, employment, disputes, litigation, insurance, and regulatory matters.

The VP Legal and compliance will work closely with ibml employees at all levels, from the corporate office to operational departments both domestically and internationally, providing practical, actionable legal advice to facilitate business growth and agility while managing risk. Technology and AI are core components of ibml’s business, and the successful candidate must have strong background in SaaS agreements, software licensing agreements, master services agreements, data processing agreements, and other technology and commercial contracts.

ROLE AND RESPONSIBILITIES

Technology, Risk, and Compliance

  • Oversee compliance with global data privacy, legal, and regulatory requirements associated with technology, including AI solutions, across corporate and consumer-facing systems.
  • Develop strategies for mitigating risks related to data privacy (e.g., GDPR, CCPA, HIPAA) and other legal matters applicable to the technology industry.
  • Monitor, interpret, and operationalize laws and regulations that could impact the company.
  • Brief senior leaders on legal trends, enforcement, and risk posture affecting the company’s use of technology.
  • Provide practical guidance for business teams to implement best practices in legal, compliance, and risk management, facilitating efficient operations while managing risk.
  • Oversee compliance with applicable international trade laws, including U.S. export controls, sanctions regulations, customs requirements, anti-boycott regulations, and other laws governing the global sale, shipment, and support of products and software.
  • Lead and maintain the company’s global ethics and compliance policies, including anti-corruption compliance, third-party due diligence, code of conduct administration, investigations, and relevant employee training.

Processes and Policies

  • Develop and improve internal processes for contracting and legal review of contracts and risks.
  • Build and maintain enterprise-wide governance, risk, and compliance frameworks and policies aligned with company growth, advising technology working groups executive leadership as technology and processes mature.
  • Update privacy, technology, governance, and responsible-use policies as technologies evolve.

Contracts

  • Draft, review, and negotiate a wide variety of technology agreements, including master agreements, Sales agreements, service agreements, license agreements, SaaS agreements, subscription agreements, data processing agreements, and other commercial contracts.
  • Execute agreements with customers, suppliers, business partners, and resellers.
  • Develop and maintain standardized templates, fallback language, negotiation playbooks and approval frameworks to improve speed and efficiency of contract negotiations.
  • Optimize contract lifecycle management, including scalable processes for onboarding, legal and risk analysis, negotiation, execution, retention, and ongoing monitoring.
  • Provide legal guidance on requests for proposals, procurement, and data handling.

Advisory

  • Oversee the company’s legal affairs, including compliance, contracting, data privacy, AI automation, litigation, intellectual property, employment, and insurance matters.
  • Maintain working relationships across all organizational levels, serving as a hands-on legal advisor and resource to provide sound legal advice at all levels of the company.
  • Partner with product, engineering, and IT teams to review and support the development and launch of new technologies, platforms, and tools and provide appropriate legal advice.
  • Provide legal support for manufacturing operations, strategic sourcing, supplier relationships, contract manufacturing arrangements, logistics, distribution, warranty programs, and supply chain risk management.
  • Distill complex legal concepts into understandable, actionable advice for diverse internal and external audiences.
  • Train internal teams on legal, compliance, and contracting best practices.

Intellectual Property & Technology

  • Advise on intellectual property provisions and protections in technology agreements.
  • Oversee protection and enforcement of the company’s intellectual property portfolio, Including patents, trademarks, copyrights, and trade secrets.
  • Coordinate global IP strategy with external counsel and international teams.
  • Advise on product regulatory requirements applicable to hardware and software products, including safety, environmental, telecommunications, accessibility, and industry-specific compliance obligations in global markets.

Human Resources

  • Advise management and Human Resources on employment-related matters including hiring, performance management, employee relations, compensation programs, reductions in force, investigations, restrictive covenants, and international employment issues.

Outside Counsel

  • Manage outside counsel relationships, performance, and budget to manage external counsel and maximize efficiency.
  • Review legal spend and reduce reliance on outside counsel.

REQUIRED SKILLS, QUALIFICATIONS AND education REQUIREMENTS

  • Juris Doctorate from an ABA accredited law school
  • Licensed member in good standing of at least one U.S. state bar
  • 15+ years of legal experience, with significant in-house experience as a senior legal leader (general counsel, deputy general counsel, or equivalent)
  • Broad-based knowledge of general business and corporate law, such as commercial contracting principles, litigation, intellectual property, employment, disputes, litigation, and insurance matters.
  • Demonstrated in-depth experience with diverse technology-related agreements and projects, particularly those involving data usage and privacy, compliance, and technology-related legal and regulatory governance. Experience with AI contract terms and conditions is a plus.
  • Experience with complex technology platforms and products, cyber security, and international aspects of legal risk assessments, as well as experience working cross functionally with technical, product, and business teams.
  • Strong understanding of intellectual property, data privacy, cybersecurity, and software licensing issues.
  • Ability to build and scale legal functions and infrastructure.
  • Ability to manage multiple priorities under pressure.
  • Excellent oral and written communication skills, including the ability to communicate complex legal concepts to non-attorney team members in a concise and effective manner.
  • Basic proficiency in MS Word, Excel, PowerPoint and MS Outlook.

The successful candidate must possess a strong work ethic, take ownership of complex projects, and proactively formulate creative solutions to challenges. Utilizing exceptional judgment, discretion and ethical standards, the VP Legal and Compliance will be responsive and adaptable, maintaining professional conduct in all settings.

The VP Legal and Compliance will consistently produce excellent work product which demonstrates thoughtful attention to detail. Essential to the role are strong communication, interpersonal, and diplomatic skills, with a proven ability to deploy strong advocacy skills in a tactful and effective manner. The ideal candidate will be highly organized and detail-oriented and be able to handle multiple projects, prioritize tasks, and meet deadlines. As a positive team player with a service-oriented mindset, the successful candidate will build relationships and work effectively across departments.

Compensation

The annual salary range for this position is $190,000 to $200,000. Factors which may affect starting pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate. This position is also eligible for participation in a performance-based bonus plan.
